The following Terms of Use (the “Terms” or the “Agreement”) form a binding legal agreement between you and Beacon Health Technologies, Inc. (“Beacon,” “we,” or “us”). These Terms govern your access to and use of beacon-health.com, related websites, mobile applications, and any other products or services operated or provided by Beacon (collectively, the “Services”).
Some Services may have additional or service-specific terms (“Supplemental Terms”). If those apply, you’ll be presented with them before using that Service. Any Supplemental Terms become part of this Agreement once accepted.
For clarity, the Services include, without limitation, tools, platforms, or technologies maintained by Beacon on behalf of third parties, as well as other technology that facilitates or enables healthcare delivery.
This Agreement is a legally binding contract between you and Beacon. You must agree to these Terms before using our Services. By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
If you do not agree, you may not access or use the Services.
As used in this Agreement, “you” refers to any visitor, user, or other individual who accesses the Services—whether or not that person registers for a Beacon Account (as defined in Section 1).
Certain provisions of this Agreement will remain in effect even after termination of your use of the Services. These include, but are not limited to:
We continually work to improve our Services, which means these Terms of Use may also need to change from time to time. We reserve the right to update or modify these Terms at any time. If we make material changes, we will notify you by placing a notice on our website, sending an email, or using other reasonable means.
If you do not agree to the updated Terms, you may reject them; however, this means you will no longer be able to use the Services. Your continued use of the Services after the new Terms take effect constitutes your acceptance of the updated Terms in full.
Except for updates made by Beacon as described above, no other modification or amendment to these Terms will be valid unless it is in writing and signed by both you and Beacon.
From time to time, we may add new features to the Services, replace existing features, or suspend or discontinue certain Services altogether. Beacon will not be liable for any suspension, discontinuation, or modification of the Services or any part thereof. Any new or modified features or services will continue to be governed by this Agreement.
If you create a Beacon Account or use the Services on behalf of another individual, you represent and warrant that you are authorized to accept this Agreement on that person’s behalf and to bind them to its terms. In such cases, references to “you” and “your” in this Agreement (except in this sentence) refer to that individual.
Beacon Health Technologies, Inc. (“Beacon”) provides tools and information to help users discover and learn about healthcare facilities and related services. Subject to these Terms of Use, Beacon grants you a limited, non-exclusive, revocable, non-transferable, and non-sublicensable license to access and use the Services for personal, non-commercial purposes.
Some portions of the Services may be available without creating an account. However, certain features may require you to register for a Beacon Account and provide basic information about yourself. By doing so, you consent to Beacon’s collection, use, and disclosure of your information as described in our Privacy Policy.
Through the Services, you may view various types of content, including text, data, graphics, images, articles, facility listings, availability information, and other materials (collectively, “Content”). Some Content may be based on information from third parties, public data sources, or healthcare organizations themselves. This Content is provided solely to help users locate and understand available healthcare resources and should not be considered medical advice, diagnosis, or treatment.
Beacon makes reasonable efforts to ensure the accuracy of Content, but we cannot guarantee that any information displayed through the Services is complete, current, or error-free. Beacon does not verify or endorse any healthcare provider, organization, or service listed, nor do we make any representations regarding their qualifications, quality, or suitability for your needs. You are solely responsible for evaluating any information obtained through the Services and for making your own decisions about seeking care. Beacon is not liable for any decisions, actions, or outcomes that result from reliance on the Content or the use of the Services.
Beacon is not a healthcare provider, and the Services are not a substitute for professional medical judgment. All information available through the Services, including materials shared via our website, mobile applications, emails, social media, or other communications, is intended for general informational purposes only.
You should never rely on the Services or any Content for medical diagnosis or treatment. If you are experiencing a medical emergency or mental health crisis, call 9-1-1 or seek immediate care from a qualified healthcare professional. Your use of the Services and any reliance on the information provided is entirely at your own risk.
Nothing on the Services should be interpreted as the practice of medicine, nursing, or any other licensed healthcare profession. Beacon does not control or guarantee the quality, accuracy, or appropriateness of any medical advice, treatment, or services offered by third-party healthcare providers or facilities. You are encouraged to confirm any relevant information directly with the facility, provider, or applicable licensing authorities before pursuing care.
Using the Services or viewing Content does not create a doctor-patient, therapist-patient, or any other professional healthcare relationship between you and Beacon or between you and any facility or provider listed through the Services. The Services are designed solely to help you locate and evaluate healthcare facilities, not to deliver medical care or advice.
Beacon does not guarantee the availability, accuracy, or quality of any services provided by listed facilities or organizations. We do not manage, schedule, or provide medical treatment and are not responsible for any cancellations, unfulfilled services, or other outcomes arising from your interactions with third-party healthcare providers. To the fullest extent permitted by law, Beacon disclaims any liability for injury, loss, or damage of any kind that results from or relates to your use of the Services or any third-party healthcare provider.
When using Beacon to find or connect with healthcare facilities, you are responsible for choosing which facility best fits your needs. This includes confirming that a facility’s services, qualifications, and availability are appropriate for your situation. Beacon does not control, employ, recommend, or guarantee any facility or the quality of its services. Facilities operate independently from Beacon.
Facility listings on Beacon are not exhaustive. Some facilities may choose not to appear or may limit what information they display. Beacon may receive fees from facilities that use or promote their listings on the platform, including through “Sponsored” placements, which will always be clearly labeled.
Search results are based on information you provide, such as location or eligibility criteria, and other relevant data. There may be additional facilities that meet your needs but are not listed through Beacon.
Beacon’s Services are designed to provide general information about healthcare facilities and related resources. All content available through the Services (“Content”)—including facility details, descriptions, and educational materials—is provided for informational and educational purposes only.
While Beacon strives to ensure accuracy, we do not guarantee that any Content is complete, current, or error-free. You are responsible for verifying any information before relying on it.
Information about healthcare facilities (“Facility Content”) may come from the facilities themselves, public data sources, or other third parties. Beacon does not certify, recommend, or guarantee any facility’s qualifications, quality, or compliance. Facility Content may change or become outdated without notice.
Any medical procedures, products, or services mentioned on the platform may not be suitable for everyone. Their inclusion does not represent a recommendation, guarantee, or endorsement by Beacon.
Insurance-related information (“Insurance Content”) is provided for general reference only. Insurance data may change frequently and may not always be accurate. You are responsible for confirming your coverage details directly with your insurer or healthcare provider.
You may choose to share certain medical or personal information through Beacon’s Services - for example, when requesting information from a facility or submitting a form. By doing so, you authorize Beacon to share that information with the facility you select. You are responsible for ensuring all information you provide is accurate and up to date, and you may be asked to verify it directly with the facility at the time of service.
When you create a Beacon Account, you must provide accurate and current information. You are responsible for keeping your login credentials secure and for all activity under your account. Notify Beacon immediately at contact@beacon-health.com if you believe your password has been compromised.
If you connect your account through a third-party service (such as Google or Apple), you authorize Beacon to access certain information as permitted by that service. You are responsible for managing your privacy settings on those third-party platforms. Beacon is not responsible for the accuracy, policies, or practices of any third-party services.
Beacon provides access to facility information free of charge, but you are solely responsible for any costs associated with services received from facilities. Beacon does not set or control prices or payment terms. You are responsible for ensuring that all information you provide, including insurance details, is accurate and current.
You may only use the Services for non-commercial and lawful purposes. You may not use the platform to disrupt or interfere with others, collect data in bulk, or attempt to gain unauthorized access to our systems.
If you represent a facility or are employed in the healthcare industry, you agree not to use the Services to coordinate pricing, availability, or customer allocation; to manipulate reviews; or to engage in deceptive or anti-competitive practices.
Beacon is not responsible for resolving disputes between users, facilities, or other third parties. If you have a dispute with another user or facility, you release Beacon and its affiliates from any and all claims, damages, or liabilities arising from or related to that dispute.
The Services may include links to third-party websites, third-party software, or mobile applications distributed through app stores. These are provided for your convenience, and Beacon does not endorse or guarantee them, their content, or the products and services offered. You are responsible for any interactions with third parties, including payments, agreements, or use of their software.
Mobile apps provided by Beacon are licensed to you on a limited, non-exclusive, non-transferable basis for use only with the Services. Your use of such apps is also subject to the terms of the app store from which you downloaded them. Beacon is responsible for the app, not the app store, which may enforce these Terms as a third-party beneficiary.
You acknowledge that Beacon is not liable for any errors, omissions, or disputes arising from third-party content, software, or apps. You agree to comply with all applicable laws and confirm that you are not located in restricted countries or on any prohibited party lists.
Beacon does not process or accept payments for any services, products, or insurance obligations. All payment arrangements, including copayments, service fees, or other charges, must be made directly with the healthcare facility.

When using the Services, you may have the opportunity to post reviews, feedback, questions, or other information related to healthcare facilities (“Posted Information”). You are responsible for ensuring that all Posted Information complies with our Acceptable Use Policy and any posted review guidelines. Beacon may moderate Posted Information for compliance, but does not endorse, verify, or guarantee its accuracy. Posted Information reflects only the views of the author, not Beacon.
By submitting Posted Information, you grant Beacon and its affiliates a worldwide, perpetual, royalty-free, sublicensable license to use, copy, display, perform, modify, distribute, and create derivative works from your Posted Information. You represent that you have the right to grant these permissions and that your Posted Information does not infringe the rights of any third party. You may not post false, fraudulent, or misleading content.
Beacon may make technical adjustments to Posted Information to ensure it functions properly on our Services. You remain solely responsible for the content you post, and Beacon is not liable for any claims, losses, or damages arising from your Posted Information.
You may also submit feedback or suggestions regarding the Services (“Feedback”). Feedback is non-confidential and non-proprietary. By submitting Feedback, you grant Beacon a non-exclusive, worldwide, royalty-free, perpetual license to use and publish it for any purpose without compensation to you.
All content on the Services, including text, images, graphics, and other materials (“Content”), is owned by Beacon or our licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. The Services and any underlying technology contain proprietary information belonging to Beacon.
You may access and use the Content only for personal, non-commercial purposes. You may print, download, or store Content for your personal use, but you may not copy, distribute, republish, sell, or otherwise exploit the Content or the Services for commercial purposes. No intellectual property rights are transferred to you by using the Services.
Except as expressly stated in this Agreement, all rights in and to the Services and Content remain with Beacon or its licensors.
Beacon is designed to provide information about healthcare facilities and improve your ability to make informed decisions. While we aim to provide a reliable and useful service, you acknowledge and agree that:
THE SERVICES AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEACON DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, AND NON-INFRINGEMENT.
We do not guarantee that the Services will be uninterrupted, error-free, secure, or free of harmful elements, including viruses or other contaminants. We are not responsible for loss of data or any failure of the Services to meet your requirements or expectations.
Your sole and exclusive remedy for any dispute with Beacon is to cancel your Beacon account.
To the maximum extent permitted by law, the total liability of Beacon and its affiliates, officers, directors, employees, and agents (the “Beacon Parties”) to you for any claim arising out of or relating to your use of the Services, regardless of legal theory, shall not exceed the greater of:
IN NO EVENT SHALL THE BEACON PARTIES BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO: lost profits, lost data, loss of goodwill, business interruption, inaccuracies in results, computer failures, or any damages related to healthcare providers or medical services accessed through the Services.
Some jurisdictions may not allow limitations on certain types of damages. In those cases, our liability is limited to the maximum extent allowed by law. You also waive any rights under California Civil Code Section 1542 or similar laws, which provide that a general release does not extend to claims unknown to you at the time of agreeing to the release that, if known, could have materially affected your decision.
Beacon may suspend, deactivate, or terminate your account at any time, with or without notice, if you or anyone using your credentials violates this Agreement, the Acceptable Use Policy, Community Standards, or other applicable policies. We may also terminate accounts for inactivity or any other reason.
Beacon is not liable for any termination, suspension, or deactivation of your account. You agree not to attempt to access the Services after termination (except you may create a new account if deactivation was due to inactivity). Termination may result in deletion of content associated with your account.
Provisions that should survive termination and other relevant terms, will remain in effect. Beacon reserves the right to investigate violations of these Terms or applicable law and may take legal or technical action, including removing content, terminating accounts, or blocking access.
You agree to defend, indemnify, and hold harmless Beacon and the Beacon Parties from all claims, liabilities, damages, demands, and expenses (including reasonable attorneys’ fees) arising from:
This obligation does not apply to claims resulting from Beacon’s gross negligence or intentional misconduct.
PLEASE READ CAREFULLY. This section contains an arbitration agreement (“Arbitration Agreement”) that affects your legal rights, including your right to file a lawsuit in court or have a jury hear your claims. It also waives your right to participate in class, collective, or representative actions.
Before initiating arbitration, you and Beacon agree to try to resolve disputes informally. You must send a written notice (“Pre-Arbitration Notice”) to the other party describing the dispute, the relief sought, and relevant details, including your Beacon account information. Send your notice to legal@beacon-health.com. Both parties will use reasonable efforts to resolve the dispute within 60 days. Participation in this informal process is mandatory before arbitration. The applicable statute of limitations is tolled during this period.
If a dispute cannot be resolved informally, it will be resolved by binding individual arbitration in Chicago, IL, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration is conducted by a single arbitrator who applies these Terms of Use as a court would.
Unless agreed otherwise, arbitration must be individual only. No claims can be arbitrated jointly, consolidated, or as a class action. The arbitrator may award relief only to the individual party and only to the extent necessary for that claim.
To initiate arbitration, you must submit a demand to the AAA and serve a copy on Beacon at 161 W Harrison St, Chicago IL, 60605, including a certification that the Pre-Arbitration Notice process has been completed.
Arbitration fees are governed by the AAA Rules, unless mutually agreed otherwise. Beacon will not seek its attorneys’ fees unless the arbitrator finds your claim frivolous. Both parties agree to cooperate to keep arbitration efficient and cost-effective.
If 25 or more similar disputes are filed, additional procedures for “Mass Filings” apply, including staged arbitration and mediation to promote efficiency. A court may enforce these procedures.
To the fullest extent allowed by law, you and Beacon waive the right to a jury trial and the right to participate in any class, collective, or representative action. Claims must be brought individually. If this waiver is invalid for a particular claim, that claim may proceed in court but only after arbitration of all remaining claims.
You may opt out of this Arbitration Agreement by sending written notice within 30 days of first accepting these Terms to 161 W Harrison St, Chicago IL, 60605.
If the Arbitration Agreement does not apply, any judicial proceeding must be brought in state or federal courts in Chicago, IL, except for small claims court.
If any part of this Arbitration Agreement is found invalid or unenforceable, that part will be severed, and the remainder will remain in effect. This Arbitration Agreement survives termination of your relationship with Beacon or these Terms.
Beacon may update this Arbitration Agreement. You may reject changes within 30 days by sending a written notice to 161 W Harrison St, Chicago IL, 60605. Your rejection applies only to the new version; you remain bound to any version you initially accepted.
By using the Services or creating a Beacon Account, you provide your electronic signature to this Agreement, including the Privacy Policy and Community Standards. Electronic signatures are legally equivalent to handwritten signatures.
(a) Transactional Communications: By providing your mobile number, you consent to receive text messages, SMS, MMS, or calls for operational purposes. Message and data rates may apply. Reply STOP to cancel or HELP for assistance.
(b) Marketing Communications: By opting in, you agree to receive marketing messages regarding Beacon products, services, promotions, and events. Consent is not required to make a purchase. Message and data rates may apply.
(c) Representations and Indemnity: You represent that all phone numbers provided are accurate and that recipients have consented to receive messages. You agree to indemnify Beacon for any claims arising from inaccurate numbers or lack of consent, including claims under the TCPA or state equivalents.
(d) Participation Requirements: You must have a personal wireless device with text messaging capabilities. Not all devices or areas may support messages. Standard carrier rates apply.
(e) Opt-Out Instructions: You may opt out of texts at any time via account settings, replying STOP or following instructions provided. A confirmation message may be sent. Opting out may affect your use of the Services.
(f) Accurate Account Information: Update your account with any new phone numbers. New numbers may receive standard messages unless you unsubscribe.
No action under this Agreement may be brought more than one year after the cause of action arose. Actions after this period are barred.
If any provision is found invalid or unenforceable, it will be replaced by a valid provision that most closely reflects the original intent. Remaining provisions remain in full force.
This Agreement is governed by the Federal Arbitration Act, federal law, and Delaware law, without regard to conflicts of law. English is the controlling language; translations are for convenience only.
This Agreement, including referenced policies, constitutes the entire agreement between you and Beacon. No previous agreements apply. Failure to enforce any right does not waive future enforcement.
Section headings are for convenience only and do not affect interpretation of the Agreement.
Beacon may assign this Agreement, including in connection with a sale, merger, or transfer of assets. You may not assign or transfer this Agreement; any attempt is void.
You must be 18 years or older, or the legal age to form a binding contract in your jurisdiction, to use the Services independently. Children under 13 may not use the Services. Users aged 13–18 may use the Services only under parent or guardian supervision, who must agree to these Terms.
Use of the Services is void where prohibited by law. Services are intended for U.S. users only. Users are responsible for complying with all applicable laws.
